In Kenya's competitive business environment, vague or poorly drafted contracts expose your company to financial loss, broken partnerships and regulatory penalties.
Ambiguous clauses allow the other party to exploit loopholes. Payment terms, deliverables, penalties and termination conditions must be crystal clear — or your business pays the price when disputes arise.
Many businesses sign contracts that don't comply with Kenyan law — making them unenforceable in court. Without proper legal drafting, you may have no legal recourse if the other party breaches the agreement.
Contracts without IP assignment, non-compete or confidentiality provisions leave your trade secrets, brand assets and competitive advantage completely unprotected — a critical risk in any partnership or employment scenario.
We draft comprehensive shareholder agreements that define ownership, voting rights, dividends policy, drag-along and tag-along rights, dispute resolution mechanisms and exit strategies for all shareholders.
We structure supply agreements with clear delivery timelines, quality standards, payment terms, force majeure provisions and dispute mechanisms that withstand real-world commercial pressures in Kenya.
From IT outsourcing to facilities management, we draft SLAs with measurable KPIs, response times, escalation procedures and penalty clauses that protect your business when service standards slip.
We create JV and partnership agreements that clearly define capital contributions, profit sharing, management responsibilities, decision-making authority and dissolution procedures — preventing partner disputes.
We draft and review NDAs that protect your business information during negotiations, partnerships and employment — ensuring enforceable remedies if confidentiality is breached under Kenyan law.
We draft employment contracts that comply with Kenya's Employment Act 2007, covering terms of service, probation, benefits, termination procedures, restrictive covenants and intellectual property assignment.
Commercial and residential lease agreements that comply with Kenyan property law, with clear rent escalation clauses, maintenance obligations, termination terms and renewal options to protect your interests.
When a business contract is breached, we represent you in negotiation, mediation, arbitration or litigation — seeking the fastest path to recovery and enforcement of your contractual rights.

📞 +254 769 554 444 — Call NowA legally enforceable contract in Kenya requires: an offer and acceptance, consideration (something of value exchanged), intention to create legal relations, capacity of both parties, lawful purpose, and compliance with any required formalities (e.g. some contracts must be in writing). We ensure every contract we draft meets all legal requirements.
Fees depend on the contract type and complexity. Simple contracts such as NDAs or basic service agreements are charged fixed fees. Complex shareholder agreements, JV contracts or international agreements are scoped and quoted before we begin. Your first consultation is free — we'll provide a clear cost estimate.
Absolutely. Signing a contract without legal review is one of the most common — and costly — mistakes businesses make. We routinely find unfavourable terms, missing clauses, liability traps and unenforceable provisions that our clients would never have spotted themselves. A review costs far less than a dispute.
If a contract is breached, you may be entitled to damages, specific performance (forcing the other party to fulfil their obligations), or rescission (cancellation). The remedy depends on the contract terms and the nature of the breach. We represent clients in negotiation, mediation, arbitration and court litigation for contract disputes.
Verbal agreements can be enforceable in Kenya, but proving the agreed terms in court is extremely difficult without written evidence. Certain contracts — such as those involving land, guarantees and contracts not to be performed within one year — must be in writing to be enforceable. We always recommend putting commercial agreements in writing.
Simple contracts can be turned around in 2–3 business days. Complex commercial agreements typically take 5–10 working days depending on the number of parties, complexity of terms and any negotiation required. We accommodate urgent timelines when needed.
