There is no minimum share capital requirement for a private limited company in Kenya. However, if you intend to apply for work permits, the Kenya Investment Authority (KenInvest) requires evidence of a minimum investment of USD 100,000 for foreign investors. Most foreign investors register a private limited company (Ltd). Options include: a new Kenyan company (100% foreign-owned or JV with a local partner), a branch of a foreign company, or a representative office. The best structure depends on your business goals, tax planning and liability preferences.
For a private limited company, you do not need a Kenyan director or local partner — the company can be fully foreign-owned and directed. However, having a local company secretary is mandatory.
